The primary market directs funds to the issuer
When an issuer first places securities, it raises financing by selling defined rights.[3](#source-market-exchange) A share and a bond have different structures: participation in capital and a debt claim, respectively.[9](#source-market-corporate-bonds) These differences affect the content of future payments and the holder’s position. Money may be used for equipment, working operations, refinancing or other purposes stated in the documents. Raising funds does not prove that the project will succeed. The financing function means providing a resource, not guaranteeing an efficient result for every project that receives it.
Illustrative hypothetical example: a fictional company places 100 new shares at 200 roubles and receives 20,000 roubles before placement expenses. One owner then sells those same 100 shares to another at the same price. In the second trade, 20,000 roubles move between owners, while the company does not receive the placement amount again. Therefore, the two turnovers cannot be added and described as the company raising 40,000 roubles. The example deliberately excludes commissions and additional offerings; it shows the difference between financing an issue and subsequent trading in an existing right.
The secondary market enables rights to be transferred
In the secondary market, participants transfer previously issued securities to one another. This gives a holder a way to change the composition of claims without waiting for the issuer’s final payment. But the existence of a market does not promise an immediate sale of any volume at the desired price. Liquidity depends on matching interest and transaction conditions. Mental counterexample: a trading venue exists, but at a particular moment there is no suitable buyer for a security. The liquidity function is not an obligation for the venue to buy from every holder and does not remove the risk of a price decline.
The possibility of secondary trading may affect willingness to provide funds at an initial offering: a potential holder knows that the rights are transferable in principle. But this relationship does not turn trading into direct income for the issuer from every transaction. To analyze the economic role, separately record the source of the money, its recipient and the moment when a new claim arises. Otherwise, high trading volume can easily be mistaken for a large volume of new investment in equipment or production. These quantities describe different processes, even when they concern the same company.
Price conveys information but does not contain the whole truth
An agreed price reflects the interaction of supply and demand under particular conditions. It helps compare claims and the cost of raising funds, but it does not replace complete information about risk. In an OTC market, price comparison is further complicated by individual terms and less transparent offers.[3](#source-market-exchange) A counterexample to treating price as a final conclusion: the same visible price for two securities may conceal differences in rights, maturities and transfer restrictions. The price-orientation function therefore works only together with identifying the object, understanding the units and checking the terms.
A public price is also not the same as a fair price or a price available to everyone for the entire future transaction. Volume, expenses, execution timing and order type can change the result. The fact that the market forms a price does not imply that it reliably predicts future profit or a debtor’s ability to pay. Financial literacy here means understanding the boundaries of information: price is useful as an observation of completed interaction, not as an answer to every question about a business or contract. The fewer conditions known, the weaker a conclusion built only on one numerical reference.
Risk redistribution and infrastructure
Derivative obligations allow the distribution of price exposure between parties to be changed, but they do not eliminate risk completely: collateral and performance requirements arise with them.[15](#source-market-futures) Similarly, clearing with a central counterparty changes the organization of obligations, including for certain OTC trades.[13](#source-market-otc-clearing) These functions cannot be reduced to the slogan “the market makes everything safe.” Depositaries, registrars and intermediaries are responsible for their respective parts of the process.[3](#source-market-exchange) Separating roles makes transactions more verifiable, but business success, the availability of an exit and the holder’s financial result remain separate questions.
How to assess a public function without an advertising conclusion
For any description, ask: does new financing arise, are existing rights transferred, is a price reference formed, is a specific risk redistributed, and what infrastructure confirms performance? Then establish the limits of each function. The Bank of Russia separately connects a climate of trust with resilience and the good-faith performance of obligations by participants.[4](#source-market-functions) The mere existence of an instrument is not enough. This approach helps explain the market’s purpose and avoid double-counting flows, but it does not turn general economic usefulness into a personal recommendation to use a particular product or accept additional risks.
