Netting and delivery versus payment: two different reductions of settlement risk

Once a trade is agreed, execution questions remain: who will deliver the securities, who will pay, can offsetting obligations be recognized and how can one-sided delivery risk be reduced? Netting and delivery versus payment solve different problems. The historical MOEX notice about developing OTC settlement separately mentions a central counterparty and DVP technology.[33](#source-cm-dvp) It is used here to distinguish mechanisms, not to confirm that a particular service or regime is available today.

Netting reduces a transfer, not the economics of the trade

A fictional participant bought 100 identical securities at 50 monetary units and sold 40 of the same securities at 50, with matching execution conditions. The gross payment obligation is 5,000 and the offsetting receipt is 2,000. If the rules permit those obligations to be netted, the net cash need is 3,000 and the net receipt is 60 securities. This is a model of compatible obligations. It does not mean that every intermediary must combine trades of different clients, currencies, dates or legal regimes in this way.

Netting did not create 2,000 of profit. That amount merely reduced offsetting transfers in the stated arrangement. If purchase and sale prices differ, the economic result must be calculated separately. If netting rules do not apply, gross transfer needs may differ from the model. Settlement netting must also be distinguished from procedures used when obligations terminate in special circumstances. The word “netting” without a legal and operational basis is insufficient to assert that a given amount is available in a client account.

Connect the two sides of execution

Delivery versus payment assumes an established link between delivery of the security and the corresponding payment. The purpose is not to leave one side with a final asset transfer and no counter-performance. The way the link operates depends on the settlement system; it need not be a household image of two literally simultaneous button presses. For a specific transaction, finality conditions and actions when assets are insufficient matter. The label DVP alone does not say that all contractual, technical and market risks have disappeared.

Clearing and a central counterparty add another layer. MOEX describes separate roles for the trading venue and clearing center, variation-margin accounting and delivery settlement for derivative obligations.[24](#source-cm-clearing) This infrastructure cannot be used to infer insurance against market-price changes. If a security falls after purchase, completing the contractual settlement need not compensate the difference. If collateral or settlement assets are insufficient, consequences are determined by applicable procedures; they cannot be reconstructed from a general technology name.

Dates and availability of resources

Trade date, scheduled settlement date and the entry in a client report may refer to different events. An SEC bulletin on securities processing also shows why records at different infrastructure levels are not the same document.[21](#source-cm-custody) This guide does not establish the current cycle of any venue. Verification requires applicable business calendars, cut-off times and confirmations. Do not plan to use expected funds as finally available merely because the status says “trade executed.”

Suppose the original example fails because the sale of 40 securities has a different settlement date. Automatic reduction of today’s payment by 2,000 no longer follows from the arithmetic. Or the documents may not permit netting between two accounts: the owner’s aggregate total does not replace each account’s obligation. These counterexamples matter because mathematically correct addition does not prove operational ability to net. Confirm compatibility of all obligations in the selected settlement perimeter before using a net number.

A verification card includes currency, quantity, prices, dates, parties, netting rules and the transfer method. Then reconcile cash and custody reports. The [general trade route](/guides/exchange-and-settlement/) gives context, [OTC risk](/guides/otc-counterparty-risk/) distinguishes counterparty and intermediary, and [identifiers](/guides/issuer-and-security-identifiers/) specify the object delivered. This guide does not select infrastructure or guarantee performance of an individual contract. It helps distinguish reduced settlement transfers, reduced exposure to a particular risk and absence of economic loss.

A sale: a checkable sequence

To understand a sale, first establish the identifier and the recorded right, the available quantity and any restrictions. Then determine the contract party, price or price-setting method, costs and execution dates. After agreement, obtain trade confirmation, reconcile the obligations and verify completed movements of money and securities. A sale through an intermediary and a direct transaction may require different documents; this guide does not declare one current process for every case.

Do not use expected receipts as if they were finally received. If securities are recorded with another participant, a possible preliminary transfer is a separate procedure with its own timing and conditions. Its necessity cannot be assumed or excluded from the application’s name. If a report differs, check quantity, dates and the basis of the entry. These are control questions, not instructions for bypassing a brokerage account or an outdated application form.

A direct contractual sale: broker and record-keeping organization are different roles

An OTC sale may be agreed directly by seller and buyer; execution still requires money movement and record-keeping actions for the securities. The absence of a brokerage agreement does not mean the absence of an account, registrar or depositary where rights are recorded. The process differs for an owner recorded directly in a register and an owner whose position is recorded through a nominee holder. A request cannot be sent “directly to the register” merely because the seller wants to bypass a broker; first establish where the holding is actually recorded.

A primary operational example is the VTB Registrar page on transfer of rights. It separately provides for an instruction to perform the operation, client information and payment of registrar services.[18](#source-mk-vtb-transfer) This confirms that the record-keeping procedure is distinct, but does not establish a universal document package, fee or guaranteed access for every owner. Forms and restrictions must be checked with the actual record-keeping organization; old templates, deadlines and legal exceptions are not transferred here.

Four documents instead of one receipt for money

The educational route starts with confirmation of the balance and identifier: what belongs to the seller, in what quantity and with which restrictions. The contract then specifies the subject, quantity, price, currency, expenses and counter-performance. Next, the parties obtain confirmation that the necessary record-keeping instructions were accepted and separately the result of the debit/credit at the relevant level. Finally, payment is checked through a bank confirmation, not a buyer’s promise. An operational instruction and a contract are not one document; the primary registrar example also shows the purpose of the instruction.[18](#source-mk-vtb-transfer)

Suppose the seller agrees to sell 40 securities at 250: the amount is 10,000. A signed contract does not show either a reduction of the holding by 40 or receipt of 10,000. If the original balance falls from 100 to 60, that confirms the quantity movement but does not replace proof that money was received. Conversely, a 10,000 advance without completed book-entry movement leaves a separate obligation to deliver. Record the date, identifier, quantity and document for every event. The obtained text of Article 149.2 of the Civil Code describes transfer of uncertificated securities through debit and credit entries and transfer of rights through the corresponding entry in the acquirer’s account; payment does not replace that entry.[23](#source-cm-gk-149-2) The text was obtained from ConsultantPlus, not the official publication portal; the legal source and reference platform therefore differ. Particular exceptions, restrictions and applicability to the selected security require separate review. This is not a conclusion about the validity of any private contract.

Prepayment and preliminary delivery expose different parties to counter-performance risk. If an agreed DVP arrangement is available, verify its actual applicability rather than relying on the contract label. A direct contract does not itself create DVP. Taxes, transfer restrictions, corporate approvals and special participant categories require separate current legal review. The scheme explains stages; it does not suggest bypassing a required intermediary or making a particular sale.
