Fund net asset value and exchange price: why they are different numbers

A fund pools participants’ resources in a particular legal structure. A share or unit gives participation in the results of the relevant portfolio, but does not necessarily mean direct ownership of each asset in a personal account. The SEC discusses collective investment and distinguishes purchases from a fund from secondary trading in exchange-traded funds.[32](#source-cm-fund-types) Foreign terms here illustrate a mechanism; they do not establish the legal regime of a Russian fund. To understand a specific instrument, read its documents: “ETF” or “unit” does not disclose all rights, participants and restrictions.

Assess the whole portfolio first

Net asset value, NAV, is assets less liabilities. For value per unit, divide this amount by the corresponding number of units. Investor.gov gives this basis.[31](#source-cm-nav) Do not forget accrued expenses and other liabilities: assets at a high amount do not mean that all of them belong to unit holders without deductions. Establish the valuation time and method. An exchange price for a security, an estimated price for a rare instrument and a cash balance may require different procedures.

An educational fund has assets of 120,000 monetary units and liabilities of 2,000. Net assets are 118,000. With one thousand units, NAV per unit is 118. If the secondary-market transaction price is 121, the premium to NAV is approximately 2.5424%. This comparison makes sense only with a comparable time and basis. If NAV was calculated earlier and the underlying markets have already moved, the difference does not necessarily mean an available opportunity to buy “three extra monetary units” without risk and costs.

An inflow changes numerator and denominator

Suppose separately that, under the educational model’s rules, the fund issues another 100 units at 118 and receives 11,800. Net assets become 129,800, the number of units becomes 1,100 and value per unit remains 118. Proportional unit creation is not itself a profit for previous owners. This is not a real subscription process: costs, timing, the basket of transferred assets and restrictions are excluded. The example only shows why growth in total fund property cannot be analyzed apart from the change in unit count.

For exchange-traded funds, the SEC describes large creation and redemption blocks through authorized participants and secondary transactions by ordinary investors.[5](#source-cm-etf) Do not assume that every unit buyer can immediately demand each portfolio security or exchange one unit at NAV. Legal form, redemption rules and access to procedures depend on the fund. Different participants may have different operational roles; their presence does not promise that a secondary-market premium or discount will always be absent.

Exit price and reported valuation

An exchange price arises from opposing offers and may differ from NAV. The SEC expressly discusses premium, discount and bid–ask spread.[5](#source-cm-etf) Therefore a rise in NAV need not fully match the result of an owner who bought at a premium and sells at a discount while also paying costs. Correct calculation requires actual prices and transaction dates, distributions and commissions. Comparing only two published NAVs answers another question: the change in unit value under the stated method.

As a checking counterexample, two funds have the same NAV of 118 but different numbers of units. This does not make their total values equal. Or one unit has the same NAV morning and evening at the last calculation even though the market has moved. Before explaining an “error” or “discount”, determine the timestamp and valuation method. Missing updated data should be stated, not automatically treated as a guaranteed gain.

Check the owner’s rights

A checking card includes the legal form, the object represented by the unit, assets, liabilities, number of units, NAV date, creation and redemption method and secondary-trading terms. [Issuer and security identifiers](/guides/issuer-and-security-identifiers/) help establish the instrument, [settlement route](/guides/exchange-and-settlement/) traces the movement of rights, and [diversification](/guides/diversification/) helps avoid mistaking packaging for an absence of concentration. This material does not offer a particular fund, report current product availability or equate collective investment with a guaranteed deposit.

A fund’s name does not answer who legally owns the portfolio, what functions the manager and recordkeeping participants perform or how a unit holder’s participation ends. Those questions belong to the documents of the particular structure. The general collective-investment scheme explains proportional results but does not transfer every right in each underlying security directly to the participant’s personal account.

Currency must also be checked when comparing NAV with an exchange price. If one amount was converted using an additional rate, the difference may include timing and conversion method. Do not treat every difference as a pure trading-demand premium. Preserve original currency, valuation time, quantity and liabilities before interpreting the result within the chosen model.

Growth, value and dividend describe selection, not the wrapper

A growth equity fund focuses on expected or observed business growth; a value fund on relatively low valuation against selected financial measures. FTSE Russell’s methodology, for example, separately uses growth indicators and book-to-market; one share can belong to both styles.[8](#source-mk-ftse-growth-value) This is one formal rule, not the only definition for all managers. A low price-to-book does not prove undervaluation, and high past growth does not guarantee the future.

A dividend fund selects distributions under its own rule: current yield, dividend-change history and composition restrictions can produce different portfolios. This is an educational classification of possible mandates, not a universal standard or description of a particular product. A paying company may simultaneously show growth or value traits. These styles are independent of legal form, exchange trading and management method: the word ETF alone does not establish style exposure.

A neutral comparison table without fund ratings

For an educational comparison, define three fictional rules over one available stock set. G selects companies by forecast revenue growth; V by low P/B with positive equity; D by declared cash dividends relative to price. A company with P/B = 1.2, a 15% growth forecast and 4% dividend yield may pass several filters. These are deliberately chosen features, not purchase thresholds. Two funds with the same style name may use different measures, cutoffs and weights.

Suppose G has 20% in company X, V has 10% in X and D has 30% in X. Equal investments in the three funds give a look-through share of X = (20% + 10% + 30%)/3 = 20%, not zero concentration. Then compare industries and company size, currencies, total-return benchmark, expenses, portfolio turnover and disclosure dates. A fund distribution is not its total return: part of the result may remain inside NAV, and a payment reduces fund property.

Who must return money and by what date

A long asset horizon is not the same as a long financing term. For a structure with redeemable units, establish when a participant may demand money from the structure itself. Selling a company share to another owner works differently: in the next model, the buyer pays the seller, not the company. This is a difference in cash flows, not a promise of perpetual ownership. The SEC, using U.S. mutual funds, distinguishes fund redemption from exchange trading of ETF units; U.S. rules do not transfer to other jurisdictions.[1](#source-cm-fund-types)

Define two entirely fictional structures with identical assets: 90 monetary units are invested in a project with no payments before day 365, and 10 remain in available cash. There are no debts, expenses or new inflows yet. In structure F, our model rules require cash redemption of presented units by day 30. In structure K, ordinary equity has no such requirement: an exiting owner seeks a buyer for the right. These are specified conditions, not a description of all funds or companies.

| Date | Structure F with redemption | Structure K without that condition | |---|---|---| | Day 0 | Assets 100, including cash 10 | Same assets and cash | | Day 10 | Requests received for payment of 25 by day 30 | Owner wants to sell the unit for 25 to another person | | Day 30 | 15 is missing for payment | Buyer pays the seller; K’s cash does not decrease | | Day 365 | Project payment possible under the condition | Same project date, but K may have other obligations |

A liquidity gap changes the ability to wait

If F sells part of the project before maturity and receives only 80% of its accounting value, assets with a value of 18.75 must be sold to obtain the missing 15. The difference of 3.75 is the loss under the specified sale. Before redemption, net assets become 96.25; after paying 25, remaining assets are 71.25. This calculation assumes a fixed cash obligation of 25 and does not model the pricing method for a redeemable unit. If the rules set another price or calculation date, recalculate the example.

The scenario shows how an obligation to return money can force an early realization. It does not assert that a sale is always necessary. Permitted new inflows, another liquidity reserve or a documented performance process may exist. A loan does not remove the issue for free: it adds maturity, cost and risk of unavailable funding. Do not assume a right to suspend payments or deliver property instead of money without checking the actual terms.

In K, an owner’s desire to exit does not itself create a duty in our model to pay from cash. But a buyer may offer less and finding a buyer may take time. The company may also have debts, expenses, contractual obligations, special buyout rights or cessation. Therefore absence of a specified redemption does not mean absence of cash deadlines and does not prove that an asset can be held forever.

For any real wrapper, write four lines: who has the claim, against whom, how the amount is determined and when money is needed. Compare that calendar with distributions and asset realizability. An individual participant’s willingness to wait ten years does not cancel the claims of other owners and creditors. This does not attribute success to a particular investor: one financing mechanism does not prove manager skill, portfolio quality or superiority of a legal form.
