Issuer and identifiers: do not confuse a company with an issue

A company name, familiar brand and security code are not interchangeable. The issuer creates the security, while the particular security carries a defined set of rights. One entity may have several share classes and bond issues. This guide explains identifiers; its fictional issue names are not real registration identifiers and it is not a list of current issuers or approved instruments.

A legal entity is not a brand

Identify the full obligated entity and its role. A group may use one brand while one separate legal entity is the issuer. The word “group” does not make every member liable for every debt. Guarantees and sureties require separate documentary support. Record issuer, guarantor or other obligor, and intermediary separately.

A shareholder has participation rights; a bondholder has the debt terms of the issue. An application may show both under one logo, but that does not make them economically identical. Even bonds differ by maturity, coupon, currency, security and call rights. Verify identity before comparing yield.

How to read the security card

The official Moscow Exchange search displays instrument type, short name, trading-system code, state registration number and ISIN separately. One short code therefore cannot replace all fields. ISIN identifies the security; the trading code serves the relevant trading system; the registration designation concerns registration under the applicable procedure.

Preserve values exactly as shown in the official document. Changing one letter or omitting a mark can break the link between sources. A short name is convenient for an interface but may be too abbreviated to verify rights. A directory entry does not prove that trading, settlement or an operation is currently available to a particular person. Status requires current documents and rules beyond this conceptual guide.

Counterexample: one company, two payment streams

In a fictional example, one issuer has “Issue A” and “Issue B”. Both have outstanding nominal value of 2,000 roubles. The next stated coupon is 60 for A and 80 for B. For five securities, full payment would be 300 and 400 respectively. Applying B’s coupon to A because the company name is familiar creates an error before yield is calculated. Equal nominal value does not solve identification.

The same issue can occur across documents. A card may describe A while a notice concerns another issue of the same entity. “The issuer announced a buyback” without an identifier does not show that the event concerns both securities. Link identifier, document title, publication date and object. Do not normalise a mismatch into a similar value; investigate its origin.

Account records and proof of rights

A depositary and registrar keep records of rights, while a broker report and statement help verify which securities appear in the account. This is a different level from a screen label. Compare identifier, quantity and record type, not only estimated value. Check dates and transaction stages: trade confirmation and final post-settlement record may be different documents. One familiar line cannot establish the complete and final rights position.

A minimum verification card

Record full issuer name, instrument type, identifier, issue number and title, obligation currency, rights document and verification date. For a bond, add payment calendar and possible call events; for a share, class and the conditions of its rights. Track admission, availability and restrictions separately. The purpose is to prevent object substitution, not to say “buy”. If a document cannot link facts unambiguously to the intended security, a familiar brand or attractive percentage cannot fill the gap.
