Investor relations: read disclosure, not the presentation story

An investor presentation shows the story management considers important. A full report lets you test figures, perimeter, obligations and limits. Read the presentation as a list of testable claims, and find corresponding disclosure for each one.

Communication and evidence have different functions

Do not begin with whether the share price rose after a speech. A short-term price reaction does not validate reporting quality or explain every cause of a move. Begin with what the company previously promised, what happened, which definitions changed and whether new measures can be reproduced. This assesses communication consistency independently of one trading day.

From slide to document

Save the presentation title, date, reporting period and version. Find the underlying report and notes, then inspect management discussion, risks and definitions of non-standard measures. The Investor.gov bulletin on U.S. 10-K and 10-Q forms illustrates this reading structure and warns that the regulator does not guarantee each document’s accuracy. It is a U.S. methodological example, not a statement of Russian issuer requirements.

For a Russian company, forms, mandatory disclosures and deadlines must be checked against current applicable rules and official channels. This guide establishes no universal publication calendar and does not confirm anyone’s compliance. Its workflow is: presentation claim, metric, primary line, note and limitation.

Educational KPI growth that needs a bridge

Suppose a slide says group revenue rose from 100 to 130, or 30%. An acquired unit contributed 20, while the old perimeter rose from 100 to 110, or 10%. Both figures can be correct under explicit definitions, but they answer different questions. Do not label the total increase organic without the relevant disclosure.

Suppose adjusted operating profit is 20 while reported operating profit is 12. Request a list of the excluded 8 and an explanation for each item. If the same “one-off” exclusion repeats for years, show results with and without it. Repetition alone does not prove intent; test economic meaning and methodological consistency rather than assigning motives without evidence.

A forecast does not become a fact through repetition

Statements about planned capacity, potential markets and target margins concern future conditions. List dependencies: permits, financing, demand, supply and currency. At the next report, compare promise and fact on the same perimeter. If the target changes, preserve both versions and the explanation instead of replacing the old entry in your journal.

The same applies to non-financial KPIs. User counts, order volumes and capacity utilisation need units, counting rules and a link to money. Activity can grow while margin or cash flow worsens. Trace the metric through profit, cash and obligations. Start with the [financial-statement roadmap](/guides/financial-statements-roadmap/).

Questions better than a general impression

Ask what changed from the prior version, how the metric was calculated, where the reconciliation is and what scenario would cause the plan to fail. Check whether good and bad periods are explained consistently. The key is not only whether an answer exists, but whether an independent reader can reproduce it. Confidence on stage is not a table; caution is not necessarily poor management.

Communication is linked to management incentives. Compensation research does not offer one universal explanation of pay structures; several mechanisms and empirical limits must be considered. Compare promoted KPIs with bonus metrics, but do not call overlap automatic proof of manipulation. See [management and incentives](/guides/management-and-incentives/).

The output of reading

Build a short table: claim, primary document, reproducible calculation, unknown and next check date. Separate confirmed fact, management explanation and your hypothesis. If the KPI definition or bridge is missing, mark the gap. Good disclosure reduces information gaps but does not guarantee an attractive price or remove the need for risk analysis.

Compare without selecting the convenient quarter

Set several consecutive dates for checking promises in advance. Do not select only the quarter in which a target was achieved or exclude weak periods because the presentation design changed. If the business perimeter changes, preserve a comparability bridge. A journal supports analysis of disclosure consistency from observable facts rather than memory of the latest presentation.

IR stakeholder map

Investor relations is not merely good-news distribution and is not the whole PR strategy. For a conditional production stoppage, establish what stopped, when, which perimeter is affected, what is known about restoration and what remains unestimated. Separate operational explanation, financial consequences and risks. The organisation below is an author-created workflow, not a mandatory procedure in every country.

| Stakeholder | Question | Responsible function | Control | | --- | --- | --- | --- | | Employees | Which shifts and tasks changed? | Operations and HR | One factual version, no unverified deadline | | Suppliers | Which deliveries should be accepted and paid? | Procurement and finance | Contract reconciliation, not a public promise to all creditors | | Customers | Which orders were fulfilled and what replaces delay? | Commercial function | Separate confirmed schedule from estimate | | Investors and analysts | How do volume, costs and financing change? | Finance and IR | Bridge to disclosed KPIs and reporting perimeter | | Regulators | What fact must be reported and in what form? | Legal and specialist function | Check applicable requirements, do not guess from IR | | Media | What is confirmed and where are updates? | Authorised representative | One published source and corrections |

Vertical links run through supply and sales; horizontal links connect partners, owners and other audiences. A dependency map prevents omission; it does not give everyone access to confidential information. Customer data, commercial terms and personal data have separate restrictions. Competitive sensitivity does not cancel applicable disclosure duties.

A crisis log instead of managing the desired share price

At the signal, assign owners for fact verification, financial assessment and message approval. Keep time, version, supporting document and unknowns in a log. Before publication, reconcile figures across departments and check applicable rules for material non-public information. A private call to an important investor cannot replace this process.

In a fictional Monday message, a stoppage of one line is confirmed while damage is still being assessed. By the next approved update, verified data on reserve capacity exist. The new version should say what changed, not erase the original uncertainty. If media repeat a wrong number, identify the exact error and publish a permitted correction. Do not promise no damage merely to calm the market.

A rumour about a possible buyer is unconfirmed information. A rumour, official interest and signed agreement are different states. Legal review is required: “no comment” does not remove the duties of a particular regime, but a rumour is not a fact.

A rising price may conditionally ease a share-financed acquisition or new capital raise, while a reversal removes that resource. A high price is not operating income and good communication does not guarantee lower cost of capital. The quality test for IR is factual consistency, access to permitted information, speed of error detection and traceable correction—not a one-point increase in P/E after a presentation.
